Apex Terms of Service

Welcome to Apex! By using our marketing automation tool through the Webflow app marketplace, you agree to the following terms and conditions. Please read them carefully.

1. Acceptance of Terms

By accessing and using Apex, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these terms, you should not use our service.

2. Eligibility

You must be at least 18 years old to use Apex. By using our service, you represent that you meet this age requirement and have the legal capacity to enter into a binding agreement.

3. Account Registration

To use Apex, you need to create an account. You agree to provide accurate, current, and complete information during the registration process and to update this information as necessary. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer. You agree to accept responsibility for all activities that occur under your account or password.

4. Free Service

Apex is offered for free through the Webflow app marketplace. We reserve the right to introduce fees for certain features or services in the future, with prior notice to you.

5. Use of Service

You agree to use Apex only for lawful purposes and in accordance with these Terms. You agree not to:
- Violate any applicable laws or regulations.
- Infringe on the intellectual property rights of others.
- Transmit any material that is unlawful, abusive, defamatory, or obscene.
- Use the service to send unsolicited messages (spam).
- Impersonate any person or entity or misrepresent your affiliation with a person or entity.
- Interfere with or disrupt the service or servers or networks connected to the service.

6. Privacy Policy

Your use of Apex is also governed by our Privacy Policy, which describes how we collect, use, and disclose your information. By using our service, you consent to the practices described in our Privacy Policy.

7. Intellectual Property

All content and materials available on Apex, including but not limited to text, graphics, website name, code, images, and logos are the intellectual property of Apex and are protected by applicable copyright and trademark law. You may not use, reproduce, distribute, or create derivative works from our content without our prior written consent.

8. User Content

You retain ownership of the content you submit through Apex. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, display, and distribute your content for the purpose of providing and promoting the service.

9. Termination

We reserve the right to terminate or suspend your account and access to Apex at our sole discretion, without prior notice, for conduct that we believe violates these Terms or is harmful to other users of the service, us, or third parties, or for any other reason.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Apex, its affiliates, directors, employees, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

Your use or inability to use the service.
Any unauthorized access to or use of our servers and/or any personal information stored therein.
Any interruption or cessation of transmission to or from our services.
Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our service by any third party.
Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available through the service.
Your interactions with other users of the service.
In no event shall Apex’s aggregate liability for all claims relating to the service exceed the greater of twenty dollars (USD $20.00) or the amount you paid us, if any, in the last twelve months for the service.

11. Indemnification
You agree to defend, indemnify, and hold harmless Apex and its affiliates, directors, employees, agents, suppliers, and licensors from and against any claims, liabilities, damages, losses, and expenses, including without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the service, your violation of these Terms, or your violation of any rights of a third party.

12. Governing Law
These Terms shall be governed and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the courts located in Ottawa, Ontario for any actions for which we retain the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of our intellectual property or other proprietary rights.

13. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the service.
